AILORIUM

Terms and conditions

For digital products, software and related services supplied by AILORIUM.

1. Provider and scope

These terms apply to contracts between AILORIUM, operated by Jörg Schwarz, sole proprietor, Am Pulverschoppen 11, 59071 Hamm, Germany (email: info@ailorium.de), and customers purchasing digital products, software, templates, e-books, prompts, digital tools or related services through the AILORIUM shop.

Different terms supplied by the customer apply only if we expressly agree to them. Specific product descriptions and individual agreements take precedence over these general terms.

2. Consumers and business customers

A consumer is a natural person entering into a transaction for purposes predominantly outside their trade, business or profession. A business customer is a natural or legal person, or a partnership with legal capacity, acting in the course of their trade, business or profession when entering into a transaction.

3. Products and scope of performance

The product description displayed when ordering determines the agreed scope, format, content, functionality, technical requirements and any restrictions on use. Screenshots and examples illustrate the product; the specific description determines what is supplied.

Unless expressly guaranteed, purchasing a product does not guarantee a particular economic, business, financial, administrative, tax, legal or search-engine optimisation result.

4. Ordering and formation of the contract

Product listings are an invitation to submit an order. By clicking the payment-labelled order button, the customer submits a binding offer to purchase the selected products. The contract is concluded when we expressly confirm acceptance or provide the purchased content or access, whichever occurs first.

The customer must provide accurate information, particularly an email address that can receive order confirmations and access information.

5. Prices and payment

The total price displayed during checkout applies. AILORIUM uses the small-business exemption under Section 19 UStG; VAT is not shown separately. Available payment methods are displayed during checkout. Paid products are normally provided after payment has been confirmed.

6. Provision of digital products

Digital content is supplied as a download, file or access link, depending on the product. Digital services or software access are provided through the access described in the offer.

Unless permanent online access has been expressly promised, the contract does not include indefinite hosting or online storage of downloadable files. Please save your purchased files and keep suitable backups. Statutory rights remain unaffected. Where a customer download area is offered, its scope follows the relevant product description.

7. Rights of use

After payment, the customer receives a non-exclusive, non-transferable right to use the purchased product for personal purposes or for their own business, within the scope described in the offer.

Where a product is intended for editing, the customer may use it to create their own final results, including for their own clients. This does not permit passing on the original files, templates or prompt collections, or selling substantially unchanged derivatives as standalone products.

Without express permission, the customer may not resell, share, rent, sublicense or publicly make available the original products; upload them so third parties can access them; share access with unauthorised persons; use the source material for a substantially identical competing product; or circumvent technical protection. Exceptions required by law remain unaffected. All mandatory statutory rights remain intact.

8. Software and technical requirements

Software use is subject to the stated system requirements, number of users, licence conditions and scope of functions. A one-time payment does not automatically include future additional features, modules or new product generations unless expressly stated. Statutory update obligations, including required security updates, remain unaffected.

Customers are responsible for the accuracy of their own entries and for making regular backups. Reverse engineering, decompilation or similar activities are permitted only to the extent required by mandatory law.

9. AI content, prompts and third-party services

Results from prompts and AI-related products depend on the service, model, input and changes made by third-party providers. We do not guarantee the continued availability of third-party services or identical, complete or error-free outputs. Our own contractual obligations remain unaffected.

Customers should check results before consequential use. Third-party rights and terms may apply; purchasing our product does not grant rights in third-party services or content beyond those we are entitled to grant.

10. No individual professional advice

Unless expressly agreed, our products do not constitute individual legal, tax or financial advice. Practical guides, templates and examples do not replace advice from a qualified professional for the particular situation. Agreed product characteristics and statutory rights concerning defects remain unaffected.

11. Customer responsibilities

Customers must meet the stated technical requirements, protect their access credentials, refrain from unlawful use and notify us of identifiable defects or security issues so that these can be addressed.

12. Statutory rights concerning digital products

Consumers retain all statutory rights concerning the supply and conformity of digital products, including functionality, compatibility, security and updates. These terms do not restrict mandatory consumer rights. For business customers, statutory rights apply unless a valid different agreement has been made.

13. Updates and changes

We provide updates to the extent required by law or agreed in the contract. Where appropriate, customers will be informed about required installation and the consequences of failing to install an update.

Changes to continuously supplied digital services are made only as permitted by the contract and law. Mandatory rights relating to changes that adversely affect use remain unaffected.

14. Right of withdrawal

Consumers may have a statutory right of withdrawal. Details appear in our withdrawal information. For digital content not supplied on a physical medium, this right can expire early only if the legal requirements are met, including express consent to early performance, acknowledgement of the resulting loss of the right and provision of the required contract confirmation. A download alone does not automatically remove the right.

15. Liability

We are liable without limitation for intentional conduct and gross negligence, injury to life, body or health, guarantees given, fraudulent concealment, liability under product liability law and other mandatory liability.

For slight negligence affecting an essential contractual obligation, liability is limited to the foreseeable damage typical of the contract. An essential obligation is one whose fulfilment makes proper performance possible and on which the customer may ordinarily rely. Otherwise, liability for slight negligence is excluded where permitted by law.

These provisions also apply to our representatives, employees and agents. Mandatory rights concerning defective digital products remain unaffected.

16. Third-party services and compatibility

We do not guarantee the availability, features or terms of services outside our control, such as payment providers, operating systems, office software, AI services, browsers, app stores, hosting or cloud services. Expressly promised compatibility remains binding.

17. Copyright and other rights

Our products may be protected by copyright and other intellectual property rights. Customers receive only the rights of use expressly granted. All other rights are reserved.

18. Data protection

Our privacy policy explains how personal data is processed.

19. Consumer dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board, unless participation is legally required.

20. Applicable law and jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory protection under the law of their habitual residence remains unaffected.

Where legally permissible, Hamm is the place of jurisdiction for merchants, legal entities under public law, special funds under public law and customers without a general place of jurisdiction in Germany.

21. Final provisions

If an individual provision is invalid, the remaining provisions remain effective. Statutory provisions replace invalid provisions where applicable. Individual agreements take precedence.
